The Site is provided for general information about a development-stage project. Nothing on the Site constitutes, or forms part of, an offer to sell or a solicitation of an offer to buy any security, partnership interest, capacity, product or service in any jurisdiction, and nothing on the Site is intended to be relied upon as the basis for any investment, purchase, leasing or partnership decision. Any offering of securities, if made, will be made only to investors qualified under applicable securities laws — including “accredited investors” within the meaning of National Instrument 45-106 Prospectus Exemptions — only in jurisdictions where it may lawfully be made, and only through definitive confidential offering and subscription documents, which alone may be relied upon. Capacity, if offered, is offered only through executed agreements.
AHI is a development-stage campus delivered in phased 10 MW increments. Statements on the Site regarding future capacity, milestones, dates, availability, uptime, pricing, grid interconnection, expansion, master plans, pathways, financing and similar matters are forward-looking. They are based on current plans, engineering design and approvals secured to the date shown, and are subject to permits, capital, market conditions, counterparties, supply chains, weather and other risks and dependencies, many of which are outside our control. We describe a pathway, not a completed state: no representation, warranty or guarantee is made that any phase, milestone, capacity, performance level or timeline will be achieved. References to “concurrently maintainable” describe design intent and equivalency only and are not a third-party certification. We undertake no obligation to update forward-looking statements except as required by law.
Figures on the Site describing sound, water, emissions, cooling performance, jobs, taxes, land and traffic are engineering design values, regulatory design targets, third-party study summaries or good-faith estimates, stated at the level of precision available at the date shown. They are provided to inform the community and are not guarantees, warranties, or representations about any specific property, person or outcome. Independent studies referred to on the Site are summarized; the studies themselves are filed with the relevant authority through the applicable process. Statements of commitment on the Community Information page describe how AHI intends to operate and are not contractual undertakings.
Content on the Site is not investment, legal, tax, accounting, engineering, planning or other professional advice, and must not be relied upon as such. You are responsible for your own independent investigation and for obtaining professional advice before making any decision.
Names of suppliers, consultants, utilities, regulators, governments, programs and other organizations appear on the Site to describe roles, processes or public policy. Their appearance does not imply that they endorse, sponsor, approve or are affiliated with AHI, or that they have reviewed the Site. References to federal, provincial or municipal principles, strategies, approvals or programs are our own summaries of public documents and do not represent the views of any government. Third-party trademarks are the property of their owners and are used for identification only. Turning Stone Developments’ and Havenz’s marks are used with Turning Stone Developments’ permission.
Access to the private portal is limited to persons we verify and provision individually. Portal materials are confidential and, where applicable, subject to non-disclosure terms; you agree not to access, use, copy, screenshot or distribute them except as expressly permitted, to keep your verification codes and sessions secure, and to tell us promptly of any unauthorized access. We may suspend or revoke access at any time. Portal figures marked “Sample” are placeholders and have no informational value; the economics of any investment are defined solely by executed subscription and partnership documents, which govern over anything in the portal.
When you send us a question, comment or inquiry, you confirm that you have the right to do so and that it does not infringe anyone’s rights. You grant us permission to use community questions, in anonymized form, to improve the Community Information page. We are under no obligation to respond to or publish any submission.
“AHI Assist” is a keyword-based guide to the pages of this Site that runs in your browser. Its answers are pre-written summaries of Site content, may be incomplete or out of date, are not advice, and are provided subject to these Terms. For anything that matters, contact our team directly.
The Site and its content — including the AHI and Havenz names and logos, text, plans, renderings, images, video, data and code — are owned by or licensed to us and are protected by copyright, trademark and other laws. Renderings and visualizations are illustrative only. You may view and, for your own non-commercial information, print or download pages of the public Site; no other licence is granted. Media may use approved imagery from the newsroom with attribution to AHI.
You agree not to misuse the Site, including by attempting unauthorized access to the portal or its data, scraping or bulk-downloading content, interfering with operation or security, misrepresenting your identity, organization or investor status, submitting false or misleading information, or using Site content in a misleading manner or to imply endorsement.
The Site embeds or links third-party services and websites (for example maps, fonts, video, government and partner sites). We do not control and are not responsible for their content, availability, terms or privacy practices.
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AHI, AHLP, AGRITECH HAVEN INTERNATIONAL INC., HAVENZ SMART COMMUNITIES INC., TURNING STONE DEVELOPMENTS, AND THEIR RESPECTIVE AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONSULTANTS AND AGENTS (THE “AHI PARTIES”) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OPPORTUNITY OR GOODWILL, ARISING FROM OR RELATED TO THE SITE OR ITS CONTENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. THE AGGREGATE LIABILITY OF THE AHI PARTIES FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED CAD $100. Some jurisdictions do not allow certain exclusions; in that case the exclusions apply to the fullest extent permitted.
You agree to indemnify, defend and hold harmless the AHI Parties from and against all claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Site or portal; (b) your breach of these Terms or of any confidentiality obligation; (c) your violation of law or of any third-party right; or (d) any information you submit to us.
Our collection, use and disclosure of personal information is described in the Privacy Policy, which forms part of these Terms.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-laws rules. You submit to the exclusive jurisdiction of the courts of Alberta, sitting in Calgary, for any dispute relating to the Site. If any provision of these Terms is held unenforceable, the remainder continues in effect.
We may update these Terms and the Site at any time. The “Last updated” date shows the current version. Continued use after a change constitutes acceptance.
